Paul recently joined LANCASTER | HELLING in September of 2007, and has continued to maintain a diverse general corporate and transactional practice, representing clients in:

  • general corporate matters
  • mergers and acquisitions
  • real estate purchases, sales, financing, and leases
  • contract review, drafting and negotiation, including master purchase agreements, supply agreements, beta test agreements, outsourcing agreements, and OEM agreements
  • strategic alliances—both international and domestic
  • major equipment purchases and leases
  • entity selection and formation
  • shareholder and buy/sell agreements
  • financing transactions
  • corporate governance matters
  • managing intellectual property—including patent prosecution and IP licensing
  • employment matters
  • dispute resolution
  • other transactional matters

Experience

Prior to joining LANCASTER | HELLING, Paul was a partner in the Dallas, Texas office of Gardere Wynne Sewell, L.L.P., with a general corporate and transactional practice.

Education & Admissions

Paul earned a B.A. in economics, magna cum laude, from Washington & Lee University in 1990 and a J.D. from the University of Texas in 1993. Paul is a member of the State Bar of Texas, the Dallas County Bar Association, and the American Bar Association.

Activities & Awards

Paul currently serves as President of the Board of Reading & Radio Resource, a non-profit organization in Dallas that reads books on CD for children and adults who can’t read for themselves, whether because of reading disabilities or vision impairment. He coaches football, soccer and basketball teams for his 4th and 2nd grade boys. Paul is a member of the Washington & Lee University Alumni Association chapter in Dallas, and is a member of University Park United Methodist Church. While Paul does not enjoy marathons and has some questions about anyone who does, he does enjoy playing golf and basketball, going to Mavs games, and playing with his kids.
